1. NO PURCHASE NECESSARY: HOW TO ENTER: Sweepstakes begins October 7, 2002 and ends November 18, 2002. To enter, visit the IFC web site at http://www.ifcrant.com and follow the on-screen instructions. All entries must be received by 11:59 PM, Eastern Time, on November 18, 2002. Limited to one, entry per person within a 24-hour period. By entering, entrants agree to be bound by and acknowledge compliance with these official rules including eligibility requirements. Responsibility for receipt of entry rests solely with the entrant. All entries become the property of the sponsor, The Independent Film Channel LLC ("Sponsor"). Sponsor will not be responsible for late, lost, or misdirected entries or any error, omission, interruption, dilution, defect or delay in operation or transmission on the Internet or any damage to a user's computer. Sponsor reserves the right to cancel the sweepstakes if it becomes technically corrupt. Sponsor will not acknowledge receipt of entries.

2. ELIGIBILITY: The sweepstakes is open to persons who are eighteen (18) years or older at time of entry and are legal residents of the continental United States. Employees (and their immediate families) of Sponsor or any of Sponsor's affiliates, subsidiaries, participating vendors, promotion or advertising agencies, or any other company involved with the design, production, execution or distribution of the sweepstakes are ineligible to enter the sweepstakes. This offer is void where prohibited by law and subject to all federal, state and local laws and regulations.

3. PRIZE DRAWING: One (1) Grand Prize winner and one hundred (100) Second Prize winners will be selected by the Sponsor in a random drawing on or about November 27, 2002 from among all eligible entries received. Odds of winning a prize depend on the number of eligible entries received. All decisions of the Sponsor are final and binding on all matters relating to this sweepstakes.

4. PRIZES: One (1) Grand Prize will be awarded. The Grand Prize winner will receive one (1) DVD player. Approximate retail value of the Grand Prize is $200.00 One Hundred (100) Second Prize winners will each receive one (1) IFC Watch, one (1) IFCRant messenger bag and one (1) DVD. Approximate retail value of each Second Prize is $65.00. Sponsor reserves the right to substitute a prize of equal or greater value. Prizes cannot be assigned, transferred, changed, or redeemed for cash except at the sole discretion of the sponsor. All federal, state, and local taxes, and all other expenses not specifically mentioned herein are the sole responsibility of the winners. Other restrictions may apply.

5. WINNER NOTIFICATION: Winners will be notified by phone and/or mail on or about November 27, 2002. Grand Prize winner must return within five (5) days after notification attempt an Affidavit of Eligibility and Liability/Publicity Release signed by winner and notarized. Failure of the Grand Prize winner to return the executed Affidavit and Release forms within the specified time period may result in winner's forfeiture of the prize and selection of an alternate winner from remaining eligible entries. Grand Prize will not be awarded until the Affidavit and Release forms are completed. By accepting any prize, winners consent to the use of their names, voices, and likenesses for promotional, advertising, publicity or trade purposes in any and all media worldwide in perpetuity by Sponsor without further compensation unless otherwise prohibited by law.

6. CONDITIONS: By participating in this sweepstakes, entrants and winner release Sponsor and each of its parents, partners, stockholders, affiliates, subsidiaries, directors, officers, agents, employees, advertising agencies, and all others associated with the development and execution of this sweepstakes from and against any and all liability with respect to or in any way arising from this sweepstakes and/or acceptance or use of any prize, including, without limitation, liability for personal injury, damages or loss.
